Terms of Service

Effective Date: January 1, 2026

These terms define the license, support scope, refund conditions, and legal limits that apply when you use Niyu Labs software and services.

Using Niyu Smart Stock? Its AI inventory module and forecasting service have their own Terms of Service, Privacy Policy, and Refund and Cancellation Policy that take precedence for that product. The terms below cover all other Niyu Labs products.

1. Acceptance of Terms

By purchasing, downloading, installing, or using any software module, API, or service provided by Niyu Labs ("Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Software.

2. License Grant & Usage Rights

License: Upon purchase, Niyu Labs grants you a perpetual, non-exclusive, non-transferable license to use the Software.

Standard License: Valid for use on a single Odoo database or production instance and its associated staging or testing environments.

Modification: You are granted access to the source code and may modify the Software for your internal business use.

Restrictions: You may not resell, redistribute, sub-license, or publish the Software, whether modified or unmodified, as a standalone product or as part of a competing service.

3. Free and Paid Products

Free products: Our free modules are provided at no cost, on an as-is basis. They include limited, best-effort support and no warranty. To the extent permitted by law, we accept no liability for them.

Paid products: Our paid modules include support and are backed by a money-back guarantee. If a paid module does not work on your Odoo even after our support, you can request a refund within 7 days of the date of payment. See our Refund Policy for the full terms.

Niyu Smart Stock: Niyu Smart Stock, our AI inventory module, and its forecasting service are governed by their own dedicated terms, which take precedence for that product. A link to them is at the top of this page.

4. Support and Maintenance

Bug Fixes: We provide 90 days of free bug-fix support from the date of purchase for the specific Odoo version you purchased. A bug is defined as a failure of the Software to perform as described in our official documentation on a clean, standard Odoo instance.

Exclusions: Support does not cover issues caused by third-party module conflicts, heavily customized Odoo core code, server misconfigurations, or network or firewall blocking.

Installation: Unless you purchase an Installation Package or Custom Architecture service, you are responsible for installing and configuring the Software.

5. Refund Policy

Paid modules are backed by a money-back guarantee. If a paid module does not perform its documented primary function on your Odoo, and our technical support team is given a reasonable opportunity to resolve the issue but cannot, you can request a refund within 7 days of the date of payment. Free products are provided at no cost and are not refundable. Our full terms, including non-refundable scenarios, are set out in our Refund Policy.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Niyu Labs, its founders, employees, and affiliates are not liable for any indirect, punitive, incidental, special, or consequential damages, including loss of profits, data loss, business interruption, or API cost overruns arising out of the use or inability to use the Software. Free products are provided as-is, without warranty of any kind, and to the extent permitted by law we accept no liability for them.

In all cases, the maximum aggregate liability of Niyu Labs for any claims arising under this agreement is strictly limited to the amount you actually paid for the specific Software module or service causing the claim.

7. AI & Data Analytics Disclaimer

Our AI and SQL Generation modules are designed to assist developers and analysts. Artificial intelligence can occasionally produce inaccurate, incomplete, or unoptimized outputs, including SQL queries or data charts. You are solely responsible for verifying the accuracy of any generated code or financial data before making business decisions or executing queries on production databases. Niyu Labs assumes no liability for data corruption or business losses resulting from the execution of AI-generated outputs.

8. Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms are subject to the exclusive jurisdiction of the courts located in Himachal Pradesh, India.

9. Changes to Terms

We reserve the right to modify these Terms at any time. Significant changes will be communicated via email or an updated notice on our website. Continued use of the Software after changes constitutes acceptance of the updated Terms.
