Smart Stock Terms of Service

These terms govern the Niyu Smart Stock module for Odoo and its forecasting service: your API key, plans and billing, acceptable use, data, and liability.

These Terms cover the Niyu Smart Stock AI inventory module and its forecasting service only. See also the Smart Stock Privacy Policy and Refund and Cancellation Policy. For all other Niyu Labs products, the site-wide Terms of Service apply.

1. About these terms

These Terms of Service ("Terms") are an agreement between you and Niyu Labs ("Niyu Labs", "we", "us", or "our"), based in India. They govern your use of the Niyu Smart Stock module for Odoo and the related forecasting service.

These Terms apply only to Niyu Smart Stock, our AI inventory planning and replenishment product. They do not cover any other Niyu Labs product or service.

By installing the module, requesting an API key, or using the service, you agree to these Terms. If you do not agree, do not use the service.

2. Definitions

Module: the Niyu Smart Stock application that you install inside your Odoo system.

Service: the cloud forecasting service that the module connects to in order to generate demand forecasts.

API key: the key that lets the module use the Service. In our product the API key and the license key are the same thing, and we use the two terms to mean the same key.

Free tier: the no-cost level of the Service, subject to usage limits.

Paid plans: the Pro, Business, and Enterprise levels of the Service.

3. The module and the Service

The module itself is provided at no cost. There is no charge to install or use the module.

The cost of the Service covers forecasting and the infrastructure that runs it. To use the forecasting features, you need an API key. The Free tier gives you an API key with limited usage. Paid plans give you an API key with higher limits and additional capacity.

You may use the module without the Service for the features that run locally inside your Odoo, but demand forecasting requires a valid API key and an active plan.

4. Your API key

We issue your API key to you for your own use. You are responsible for keeping it secure. Do not share it, resell it, or let others use it unless we have agreed to that in writing.

We may issue, suspend, downgrade, or revoke an API key as described in these Terms, including where there is misuse, a breach of these Terms, non-payment, or a risk to the Service or to other users.

For any key that is not on an active paid plan, including a Free tier key and a paid plan you are trying before you have paid for it, we may suspend, downgrade, or disable the key at any time at our discretion, even where you have not breached these Terms and have done nothing wrong. For example, if such a key keeps making requests but you do not respond to our emails, so we cannot tell whether the product is genuinely useful to you or an automated script is simply running it unattended, we may disable it. Paid plans on an active subscription are governed by the suspension and termination terms below.

5. Acceptable use

When you use the module and the Service, you agree that you will not:

use them for any unlawful purpose or in breach of any applicable law,

attempt to bypass, exceed, or interfere with usage limits, quotas, or security controls,

reverse engineer, decompile, or attempt to extract the source of the Service or our forecasting models, except where the law expressly allows it,

resell, redistribute, sublicense, or white label the module or the Service without a separate written agreement with us,

share your API key with third parties or use it on behalf of another business without our agreement,

use the Service to build or train a competing product, or

upload or submit content that is unlawful or that you do not have the right to process.

6. Plans, billing, and renewal

We offer a Free tier and Paid plans. Paid plans are Pro, Business, and Enterprise. Enterprise pricing is custom.

Paid plans are recurring subscriptions billed monthly or yearly, depending on the cycle you choose. Payments are taken by credit card through our payment processor, with recurring billing enabled, so your subscription renews automatically at the end of each billing period until you cancel.

If a recurring payment fails, we may deactivate your API key or downgrade it to the Free tier.

Prices may change at any time without prior notice. We will try to notify paid customers of changes in advance, by email to the address registered on your account or the email you first used to contact us. If you do not want to renew at a new price, you can cancel before your next renewal.

7. Suspension and termination

We may suspend, deactivate, downgrade, or revoke any API key, on the Free tier or a Paid plan, if we reasonably believe there is misuse, abuse, a breach of these Terms, non-payment, or anything that puts the Service or other users at risk. Where we can, we will try to contact you first by email.

You can stop using the Service at any time. For Paid plans, you can cancel as described in our Refund and Cancellation Policy.

8. Your data

The data your business sends to the Service stays yours. By using the Service, you give us a limited permission to process that data only to generate and return your forecast.

We do not store your business data permanently, and we do not use it to train our models or sell it to anyone. How we handle data is described in full in our Privacy Policy.

9. Intellectual property

The module, the Service, our forecasting models, and the Niyu Smart Stock and Niyu Labs names and branding are our intellectual property or that of our licensors. These Terms do not give you any rights in them except the right to use the module and the Service as described here.

10. Disclaimers

The module and the Service are provided on an "as is" and "as available" basis.

Niyu Smart Stock is a decision support tool. Its forecasts and recommendations are suggestions to help you plan. They are not a guarantee of future demand or of any business outcome. The module prepares draft purchase orders and transfers for your team to review and approve. You remain responsible for your own purchasing, inventory, and business decisions.

We do not warrant that the Service will be uninterrupted, error free, or accurate in every case, or that it will meet a specific requirement. To the extent the law allows, we disclaim all warranties that are not expressly stated in these Terms.

11. Limitation of liability

To the extent permitted by law, Niyu Labs will not be liable for any indirect, incidental, special, or consequential loss, or for lost profits, lost revenue, lost data, or business interruption, arising from your use of the module or the Service.

To the extent permitted by law, our total liability for any claim relating to the module or the Service is limited to the last subscription payment we received from you for the Service. In no event will our liability exceed that amount. If you have not paid us for the Service, for example on the Free tier, our liability is limited to zero.

12. Changes to the Service and these Terms

We may update, improve, or change the module and the Service over time. We may also update these Terms. When we do, we will post the updated version with a new date. If you keep using the module or the Service after an update, that means you accept the updated Terms.

13. Governing law

These Terms are governed by the laws of India. Any dispute relating to them will be subject to the courts of competent jurisdiction in India.

14. Resellers and white label partners

These Terms apply to direct customers only. If you want to resell Niyu Smart Stock to your own customers or white label it, please contact us at info@niyulabs.com. Reseller and white label arrangements are covered by a separate agreement with different terms, and these Terms do not apply to them.
